ProEx Coatings Terms of Service Agreement

1. Introduction

• This Terms of Service Agreement ("Agreement") governs the services provided by ProEx Coatings. By engaging our services, you agree to comply with the terms herein.

2. Scope of Services

• ProEx Coatings will provide epoxy flooring services as detailed in the provided contract. Changes or additional services require a written amendment.

3. Payment Terms

• Invoices are payable within 30 days of receipt. Late payments incur a 2% monthly fee. Non-payment may result in service suspension.

4. Customer Obligations

• Customers must ensure site readiness, including accessibility and safety. Failure to do so may result in additional charges.

5. Warranty

• Our services are covered by the warranty outlined separately. This excludes damages caused by misuse or failure to perform required maintenance.

6. Liability Limitations

• ProEx Coatings is not liable for indirect, incidental, or consequential damages. Our total liability is limited to the contract amount paid.

7. Dispute Resolution

• All disputes will be resolved through arbitration under the American Arbitration Association rules. The arbitrator's decision is final and binding.

8. Termination

• Either party may terminate the agreement with 30 days' written notice. Clients are liable for all services rendered up to termination.

9. Confidentiality

• Both parties agree to keep any proprietary information confidential and not disclose it to third parties without prior consent.

10. Intellectual Property

• All designs and materials provided by ProEx Coatings remain our intellectual property unless otherwise specified in writing.

11. Force Majeure

• We are not liable for delays or failures caused by events beyond our control, including natural disasters or governmental actions.

12. Governing Law

• This Agreement is governed by the laws of [Your State/Province]. All legal actions must be filed within this jurisdiction.

13. Severability

• If any provision is deemed unenforceable, the remaining terms remain in effect.

14. Entire Agreement

• This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements.

• ProEx Coatings reserves the right to amend these Terms of Service. Clients will be notified of significant changes.
